Terms of Service

1. Acceptance of Terms

By accessing the NCP Media Client Portal ("Portal"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree, do not use the Portal. These Terms constitute a legally binding agreement between you ("Client") and NCP Media ("Company").

2. Services Description

The Portal provides access to:

  • Advertising campaign performance dashboards (Meta, Google, TikTok)
  • Lead management from connected ad forms
  • Invoice and billing history
  • Support ticket system
  • Weekly performance reports
  • Ad optimization tools and recommendations

3. Account Security

You are responsible for maintaining the confidentiality of your login credentials. You must immediately notify NCP Media of any unauthorized use of your account. We offer optional time-based one-time password (TOTP) two-factor authentication and strongly recommend enabling it for accounts that manage ad budgets, domains or payment methods. You are responsible for safeguarding your authenticator device and the single-use backup codes issued when you enable 2FA. You agree not to share your credentials with third parties.

4. Acceptable Use

You agree not to:

  • Use the Portal for any unlawful purpose or in violation of any regulations
  • Attempt to gain unauthorized access to any part of the Portal
  • Interfere with or disrupt the integrity or performance of the Portal
  • Reverse engineer, decompile, or attempt to extract the source code
  • Upload malicious code, viruses, or harmful content
  • Use automated tools to scrape or extract data

5. Ad Account Access

By connecting your advertising accounts (Meta, Google, TikTok), you grant NCP Media read and write access to manage campaigns on your behalf. You remain the owner of all ad accounts and data. NCP Media acts as a data processor for campaign data under a Data Processing Agreement.

6. Payment & Subscription Terms

Invoices. Invoices are due within 30 days of issue unless otherwise agreed in writing. Late payments may result in portal access suspension. Disputed invoices must be raised within 14 days of receipt.

VAT treatment. For EU business customers that provide a VAT number successfully verified through the European Commission's VIES system, invoices are issued under the reverse charge mechanism (0% VAT; recipient accounts for VAT in their own jurisdiction, per Article 196 of Council Directive 2006/112/EC). Where VIES verification fails or is not provided, VAT is applied at the applicable rate.

Subscription renewal. Recurring services (monthly or annual) renew automatically at the end of each billing period using the payment method on file, unless cancelled.

Mid-period cancellation. You may cancel any subscription at any time from Settings → Billing, or through the Stripe customer portal.

  • Cancel at period end (default): The service remains available until the end of the current billing period and will not renew. No pro-rata refund is issued; the amount already paid covers the unused remainder of that period.
  • Immediate cancellation: Available on request. Pro-rata refunds for the unused portion of a monthly or annual period are issued only where required by mandatory consumer-protection law (e.g. 14-day right of withdrawal for EU consumers under Directive 2011/83/EU where the service has not yet been performed). B2B subscriptions are not eligible for pro-rata refunds unless explicitly agreed.
  • Setup fees, professional-services hours and one-time purchases (e.g. website development, LLM fine-tuning) are non-refundable once work has commenced.

Failed payments. If an automatic charge fails, we will retry according to Stripe's dunning schedule. Access may be suspended after 7 days of unpaid status.

7. Intellectual Property

All content, software, and technology in the Portal is the property of NCP Media and is protected by EU intellectual property laws. Your data remains your property. NCP Media claims no ownership over your campaign data, leads, or business information.

8. Data Processing

NCP Media processes your personal data as described in our Privacy Policy. By using the Portal, you acknowledge and consent to this processing. For processing of your clients' lead data, NCP Media acts as a data processor and you act as the data controller.

9. Limitation of Liability

NCP Media shall not be liable for any indirect, incidental, or consequential damages arising from your use of the Portal. Our total liability shall not exceed the fees paid in the 3 months preceding the claim. We are not liable for third-party platform outages (Meta, Google, TikTok) affecting data sync.

10. Service Availability

We aim for 99% uptime but do not guarantee uninterrupted access. Scheduled maintenance will be communicated in advance. Emergency maintenance may occur without notice.

11. Termination

Either party may terminate access with 30 days written notice. NCP Media may immediately suspend access for: non-payment, breach of these Terms, or illegal activity. Upon termination, your data will be deleted within 60 days unless retention is required by law.

12. Governing Law

These Terms are governed by Greek law and EU regulations. Any disputes shall be subject to the exclusive jurisdiction of the courts of Athens, Greece.
